1. Acceptance of Terms

By accessing the BoxlyX platform or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

BoxlyX provides data annotation, synthetic data generation, and AI operational support services ("Services"). Services may be delivered via our proprietary platform or integrated with third-party tools as agreed upon in a Statement of Work (SOW).

3. Data Ownership & IP

Clients retain full ownership of all raw data provided to BoxlyX. Upon full payment for a project, Clients own the resulting annotations, metadata, and labeled datasets. BoxlyX retains ownership of its proprietary platform, tools, and methodologies used to deliver the Services.

4. Payment Terms

Service fees are based on the volume and complexity outlined in individual contracts. Standard payment terms are Net-30 unless otherwise specified in an SOW. BoxlyX reserves the right to suspend services for accounts with past-due balances.

5. Confidentiality

Both parties agree to protect the other party's Confidential Information with the same degree of care as their own. BoxlyX staff and contractors are bound by strict non-disclosure agreements (NDAs) regarding all client data.

6. Limitation of Liability

BoxlyX shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability for any claim shall not exceed the amount paid for the specific Service in question during the 12 months preceding the claim.
